Terms of Service | MICMA™

1. Introduction
These Terms of Service ("Terms") govern your access to and use of MICMA (Margasoft Corp.'s Integrated Claim Management Application), a Healthcare Claims Management Software, and related applications, websites, and integrations (collectively, the "Software"). MICMA is developed and owned by Margasoft Corporation. By using the Software, you agree to these Terms. If you are using the Software on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. 2. Scope of Services
MICMA provides enterprise-grade legal automation services, including contract drafting, collaboration, negotiation, e-signing, and compliance audit trails. These Terms apply to all Software usage, including any related modules, updates, or third-party integrations provided by MICMA.
3. Eligibility
You must be at least 18 years old or have reached the age of majority in your jurisdiction to use the Software. By using the Software, you represent that you meet these eligibility requirements.
4. Account Registration and Security
Certain features require account registration. You must provide accurate, current, and complete information and update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify MICMA immediately of any unauthorized use.
5. User Responsibilities
You agree to use the Software in compliance with all applicable laws and regulations. Prohibited actions include:
- •using the Software for unlawful purposes,
- •accessing, copying, or distributing other users' data without consent,
- •attempting to disrupt or bypass security measures,
- •reverse engineering or reproducing Software functionality.
6. Customer Content and Ownership
All documents, data, and other content you or your organisation create or upload ("Customer Content") remain your property. You grant MICMA a limited, non-exclusive license to process, store, and display Customer Content as necessary to provide the Software and maintain e-signature audit trails. MICMA does not claim ownership of Customer Content.
7. MICMA Intellectual Property
Margasoft Corporation retains all MICMA rights, title, and interest in the Software, including code, designs, algorithms, UI/UX, and documentation. You may not copy, modify, distribute, or create derivative works without prior written consent from Margasoft Corporation.
8. Fees, Billing, and Subscriptions
Access to paid features requires payment of applicable fees, stated in your order form or pricing page. You agree to pay all fees on time and maintain valid payment methods. Non-payment may result in suspension or termination of your account. Fees are non-refundable except where required by law.
9. Trial Accounts
Trial or free versions may have limited features and duration. MICMA reserves the right to modify or terminate trials at any time.
10. Security, Compliance, and Audit Trails
MICMA implements technical, administrative, and physical safeguards to protect your data. All document actions, including creation, review, edits, negotiation, and e-signing, are recorded in secure audit trails to ensure legal enforceability and regulatory compliance (e.g., eIDAS, ESIGN Act, GDPR). Despite these safeguards, no system is completely secure.
11. Third-Party Integrations
The Software may integrate with third-party services. MICMA is not responsible for third-party content or actions. Use of third-party services is governed by the third party's terms and privacy policies.
12. Termination and Suspension
MICMA may suspend or terminate your access for violations of these Terms, non-payment, or other valid reasons. You may terminate your account at any time via account settings or support. After termination, access to Customer Content may be restricted; MICMA provides a reasonable period for data retrieval.
13. Disclaimers
The Software is provided "as is" and "as available." MICMA disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. MICMA does not guarantee uninterrupted or error-free operation.
14. Limitation of Liability
To the maximum extent permitted by law, MICMA is not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, arising from your use or inability to use the Software. Liability for direct damages is limited to the fees paid in the 12 months preceding the claim.
15. Indemnification
You agree to indemnify and hold MICMA, its officers, employees, and affiliates harmless from any claims, damages, or expenses arising from your use of the Software, violation of these Terms, or infringement of any rights of third parties.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of [Insert Jurisdiction]. Any disputes shall be resolved in the courts of [Insert Jurisdiction], unless mandatory local law provides otherwise.
17. Changes to Terms
